All content, materials, and elements comprising or displayed on this Website — including but not limited to the Asper brand name, logo, wordmark, graphic design, layout, user interface, photographs, written text, technical documentation, data compilations, software code, and all other works of authorship — are the exclusive property of Asper Tecnologia Ltda or of third parties who have licensed such content to Asper, and are protected by applicable Brazilian and international intellectual property laws, including the Brazilian Industrial Property Law (Law No. 9.279/1996), the Brazilian Copyright Law (Law No. 9.610/1998), and the Brazilian Software Act (Law No. 9.609/1998).

Nothing in these Terms grants you any right, title, license, or interest in or to any of Asper's intellectual property rights, whether by implication, estoppel, or otherwise. The limited license granted in Section 2 above is solely for the purpose of viewing and using this Website in the ordinary course of accessing our services and information.

You may not reproduce, redistribute, modify, adapt, translate, create derivative works from, publicly display, transmit, or in any way commercially exploit any content from this Website without our express prior written consent.   • Any statements, conduct, or omissions of any third party on or through the Website or any linked third-party website.

  • Any interruption, suspension, or termination of the Website, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if Asper has been advised of the possibility of such damages.

In any event, and to the fullest extent permitted by law, Asper's aggregate liability to you for any and all claims arising from or related to your use of the Website shall not exceed the amount, if any, you have paid directly to Asper for access to the Website in the twelve (12) months immediately preceding the event giving rise to the claim — or, if no such payment has been made, BRL 100.00 (one hundred Brazilian reais).

Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you in their entirety. In such cases, Asper's liability shall be limited to the maximum extent permitted by the applicable law of that jurisdiction.

Indemnification

You agree to defend, indemnify, and hold harmless Asper Tecnologia Ltda and its directors, officers, employees, agents, contractors, licensors, successors, and assigns (collectively, the "Asper Parties") from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses — including reasonable attorneys' fees and court costs — arising out of or related to:

  • Your access to or use of the Website in any manner that violates these Terms or any applicable law or regulation.
  • Any content or information you submit, post, or transmit through any contact form or communication channel on the Website.
  • Your violation of any rights of any third party, including without limitation any intellectual property, privacy, publicity, or contractual rights.
  • Any false or misleading information you provide to Asper in connection with your use of the Website.
  • Your willful misconduct, negligence, or fraud.

Asper reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Asper in the defense of such matter. You may not settle any claim without Asper's prior written consent if such settlement would impose any obligation or liability on any Asper Party.

Section 09

Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation — including non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict-of-law principles.

The parties agree that any legal action or proceeding relating to these Terms or to your use of the Website shall be brought exclusively before the courts of the judicial district of the registered address of Asper Tecnologia Ltda, Brazil, and you irrevocably consent to the personal jurisdiction of such courts for this purpose, waiving any objection to venue or jurisdiction you may now or hereafter have.

In particular, the following Brazilian statutes may apply, among others:

  • Brazilian Civil Code (Law No. 10.406/2002) — governing contractual obligations and general civil liability.
  • Brazilian Consumer Defense Code (Law No. 8.078/1990) — to the extent applicable to the relationship between Asper and individual consumers.
  • Brazilian General Data Protection Law — LGPD (Law No. 13.709/2018) — governing the processing of personal data, as further described in our Privacy Policy.
  • Brazilian Internet Civil Framework — Marco Civil da Internet (Law No. 12.965/2014) — governing the use of the internet in Brazil, including rights and responsibilities of users and providers.

Nothing in this Section limits Asper's ability to seek emergency injunctive or other equitable relief from any court of competent jurisdiction in order to protect its intellectual property rights or to prevent irreparable harm.

Changes to These Terms

Asper reserves the right to revise, update, or replace these Terms at any time and for any reason, at our sole discretion. When we make material changes to these Terms, we will update the "Last updated" date at the top of this page, and — where appropriate and feasible — we may provide additional notice, such as a prominent announcement on the Website or a notification sent to users who have provided us with contact details.

We encourage you to review these Terms periodically to stay informed of any updates. The version of the Terms in effect at the time of your use of the Website governs that use.
